Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Kense ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. Ulkira LLC ("Ulkira," "we," "us," or "our") reserves the right to modify these Terms at any time. Your continued use of the App following any changes constitutes acceptance of those changes.

2. Description of Service

Kense is a spatial augmented reality application designed for Apple Vision Pro that allows users to place, arrange, and experience digital artwork and media in their physical environment. The App offers various subscription tiers with different features and capabilities.

3. User Accounts

• You must be at least 13 years old to use the App
• You are responsible for maintaining the confidentiality of your account
• You agree to provide accurate, current, and complete information
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

4. Subscriptions and Payments

4.1 Subscription Plans

Kense offers multiple subscription tiers: Kense (Free), Kense Artist, and Kense Curator. Each tier provides different features as described in the App and on our website.

4.2 Billing

Paid subscriptions are billed through Apple's App Store. By subscribing, you authorize Apple to charge your payment method on a recurring basis. Subscription fees are non-refundable except as required by applicable law.

4.3 Cancellation

You may cancel your subscription at any time through your Apple ID account settings. Cancellation will take effect at the end of the current billing period.

5. User Content

You retain all rights to the media content you import into Kense. By using the App, you represent that:

• You own or have the necessary rights to use the content you import
• Your content does not infringe on any third-party intellectual property rights
• Your content does not violate any applicable laws or regulations
• Your content is not offensive, harmful, or objectionable

6. Intellectual Property

The App, including its design, features, and content (excluding user-imported content), is owned by Ulkira LLC and is protected by copyright, trademark, and other intellectual property laws.

Curated artist collections available in the App are licensed from their respective creators and are subject to their own licensing terms. Users may not reproduce, distribute, or commercially exploit this content without proper authorization.

7. Print on Demand Services

Print on demand services for curated collections are facilitated through third-party providers. Orders are subject to their respective terms and conditions. Ulkira is not responsible for print quality, shipping, or fulfillment issues handled by third-party providers.

8. Prohibited Uses

You agree not to:

• Use the App for any illegal purpose
• Violate any intellectual property rights
• Attempt to reverse engineer or hack the App
• Distribute malware or harmful content
• Harass, abuse, or harm other users
• Use the App in ways that could damage or impair its functionality

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. ULKIRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULKIRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE APP. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
